Anyone know of a cheap place to buy a EOS 40D? I'm not really too fussed if its second hand as such - just can't find any.
Most of the online shops have them for around the $1500-$1700 range with the lens kit.

The 40D is higher up the food chain.
For what you want to do with it.... no difference....except nearly $300.00.... you could put this towards better glass.

If this is your first SLR, get the 450D and use the extra cash to get the 17-85 with it instead of those crappy kit lenses or something, or maybe use it to get a nice CF card and a good bag (Like a Lowepro).
